These Terms & Conditions (“Terms”) govern your use of www.invenzolabs.com (the “Website”), operated by Invenzo Labs India Private Limited (“Invenzo Labs”, “we”, “us”, “our”), a company incorporated under the Companies Act, 2013.

These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made under it, as amended from time to time.

Please read these Terms together with our Privacy Policy and Cookies Policy before using the Website. Your use of the Website means you accept these Terms and agree to be bound by them. If you do not agree, please do not use the Website.

A. About Invenzo Labs

Invenzo Labs builds a connected platform for retail and distribution businesses, comprising Izoleap, Izoleap B2B, Izowhiz, Izoware, IzoPOS, Izo.AI and Behavioural Analytics, together with any further products we may release from time to time. The Website presents this range and provides information, research and contact channels.

B. What these Terms cover, and what they do not

These Terms govern your use of this Website — browsing it, requesting a demo, subscribing to our updates, downloading our research and contacting us.

They do not govern use of the Invenzo Labs platforms. If your organisation subscribes to any of our products, that use is governed by the separate subscription agreement or master services agreement signed between your organisation and Invenzo Labs, together with any data processing terms, service levels and security addenda attached to it. Where those documents and these Terms differ, the signed agreement prevails.

C. Eligibility

By using the Website you confirm that you are at least eighteen years old and competent to enter into a contract under the Indian Contract Act, 1872, that any information you provide is accurate and kept up to date, and that you will use the Website only in compliance with these Terms and all applicable laws.

We may refuse, suspend or withdraw access to the Website or any of its features at our discretion.

D. Accounts

Some features may require you to create an account. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity under your account. Please notify us at legal@invenzolabs.com if you believe your account has been used without your authorisation.

If we believe there is a risk to the security of your account or the Website, we may require you to change your password or suspend the account without liability for as long as is reasonably necessary.

You may close your account at any time by writing to legal@invenzolabs.com. We may retain some information after closure where the law requires it, as described in our Privacy Policy.

Availability of the Website depends on factors outside our control, including your internet connection. We do not guarantee uninterrupted availability and are not liable for loss arising from an inability to access the Website.

• Introduce viruses, malware or any other code designed to harm or disrupt the Website or its users.
• Attempt to gain unauthorised access to the Website, its servers, or any connected network or account.
• Use scraping, crawling, automated data collection or any similar process to access or copy the Website, except as permitted by our robots.txt.
• Overload, damage or impair the Website, or interfere with any other user’s use of it.
• Access the Website other than through the interfaces we provide.

Breach of this section may result in immediate suspension or termination of your access, in addition to any other remedy available to us. Where required by law, we may disclose account information to a government or legal authority.

F. Intellectual property

The Website and all material on it — text, graphics, interfaces, artwork, code, and any other content — is owned or licensed by Invenzo Labs and protected by copyright, trademark and other intellectual property laws.

The trademarks, logos and service marks displayed on the Website are the property of Invenzo Labs or the respective third parties. You may not use them without prior written consent from the owner.

G. Feedback

If you send us feedback, suggestions or ideas about the Website or our products, we may use them without restriction and without any obligation to you. You confirm that your feedback does not contain confidential or proprietary information belonging to you or a third party, and that we are under no obligation of confidentiality in respect of it.

This obligation survives the end of these Terms.

L. Termination

We may suspend or terminate your access to the Website at our discretion, with or without notice, if we believe you have breached these Terms or applicable law. Sections F, G, J, K, M and N survive termination.

M. Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them or your use of the Website, are governed by the laws of India without regard to conflict of law principles. The courts at Bengaluru, Karnataka have exclusive jurisdiction, and you consent to that jurisdiction.

N. General

• Changes. We may amend these Terms from time to time. The current version is always published on this page with its effective date. Your continued use after a change takes effect means you accept it.
• Notices. We may give notice by email to the address associated with your account, or by posting on the Website. Notices to us should go to legal@invenzolabs.com
• Entire agreement. These Terms, together with the Privacy Policy and Cookies Policy, are the entire agreement between you and us in respect of the Website.
• Assignment. You may not assign or transfer these Terms. We may assign them freely.
• Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest will remain in full force.
• Waiver. A failure to enforce any provision is not a waiver of it.
• Relationship. Nothing in these Terms creates an employment, agency, partnership, joint venture or franchise relationship between you and us.
